Legal agreement governing your use of PopaDex wealth management platform

These Terms of Service (“Terms”) constitute a legal agreement between you and PopaDex Ltd. (“PopaDex,” “we,” “us,” or “our”). By accessing or using PopaDex, you agree to be bound by these Terms.
1. Acceptance of Terms
1.1 Agreement to Terms
By creating an account, accessing our website, or using our services, you:
- Acknowledge you have read these Terms
- Understand and agree to be bound by them
- Represent you have legal capacity to enter into this agreement
- Agree to comply with all applicable laws
1.2 Age Requirements
Minimum age:
- 18 years in most jurisdictions
- 16 years in EU with parental consent
- 21 years where required by local law
Verification: We may request proof of age at any time.
1.3 Updates to Terms
We may modify these Terms at any time:
- Material changes: 30-day advance notice via email
- Minor changes: Posted immediately, reflected in “Last Updated” date
- Continued use = Acceptance of updated Terms
- Objection: Close your account before changes take effect
2. Service Description
2.1 What PopaDex Provides
Wealth Management Platform:
- Multi-currency account aggregation
- Net worth tracking
- Transaction categorization
- FIRE (Financial Independence) calculator
- Financial insights and reports
- Bank account connections (via Plaid/GoCardless)
Not Provided:
- ❌ Financial advice or recommendations
- ❌ Investment management services
- ❌ Tax preparation or advice
- ❌ Legal advice
- ❌ Banking services (we aggregate, not custody)
2.2 Service Availability
Uptime target: 99.5% (excluding scheduled maintenance)
Scheduled maintenance:
- Advance notice on status.popadex.com
- Typically off-peak hours
- Usually <2 hours duration
No guarantee: Service provided “as is” without uptime guarantees
2.3 Beta Features
Some features may be in beta:
- Clearly labeled as “Beta”
- May have bugs or limitations
- Can be removed or modified at any time
- Use at your own risk
3. Account Requirements
3.1 Account Creation
Required information:
- Valid email address
- Strong password (12+ characters)
- Country of residence
- Acceptance of these Terms
Accuracy: You’re responsible for providing accurate information
3.2 Account Security
Your responsibilities:
- Keep password confidential
- Use strong, unique password
- Enable two-factor authentication (when available)
- Notify us immediately of unauthorized access
- Log out from shared/public computers
We are not liable for losses due to compromised credentials you failed to protect.
3.3 One Account Per Person
Prohibited:
- Multiple accounts for one person
- Sharing accounts with others
- Creating accounts for others without permission
Exception: Business/family account features (when available)
3.4 Account Suspension or Termination
We may suspend or terminate your account for:
- Violation of these Terms
- Fraudulent activity
- Abusive behavior toward staff
- Extended inactivity (12+ months with notification)
- Legal requirement
- Non-payment of subscription fees
Notice: Usually 7 days advance notice (unless immediate threat)
Your right: Terminate anytime from Settings → Account → Delete Account
4. Acceptable Use
4.1 Permitted Use
You may use PopaDex to:
- Track personal finances
- Aggregate bank accounts
- Calculate retirement goals
- Generate financial reports
- Export your data
4.2 Prohibited Activities
You may NOT:
- Use service for illegal purposes
- Violate any laws or regulations
- Infringe intellectual property rights
- Upload malicious code or viruses
- Attempt to hack or breach security
- Reverse engineer our software
- Scrape data via automated means
- Resell or redistribute our services
- Create derivative works
- Impersonate others
- Harass or abuse staff or users
Penalties: Account termination, legal action, referral to authorities
4.3 Compliance with Laws
Your obligation:
- Comply with all applicable laws
- Understand tax obligations
- Follow local financial regulations
- Report income as required
Our limitation: We provide tools, not legal/tax advice
5. Bank Connections
5.1 Third-Party Services
Plaid (US) / GoCardless (EU):
- Facilitate secure bank connections
- Subject to their own Terms and Privacy Policies
- We don’t control their services
- Not liable for their performance or security
5.2 Authorization
By connecting banks, you authorize:
- PopaDex to access account information
- Ongoing data retrieval
- Use of data as described in Privacy Policy
Read-only access: We can view, not transact
5.3 Credentials
We never store your bank username/password:
- Credentials handled by Plaid/GoCardless
- Tokenized access only
- Revocable at any time
Revoking access:
- From PopaDex: Settings → Connected Accounts → Disconnect
- From bank: Third-party access settings
5.4 Account Information Accuracy
Bank data accuracy:
- We display data as received from banks
- Not responsible for bank errors or delays
- Transaction categorization is automated (may have errors)
- Review and correct as needed
Manual accounts: You’re responsible for accuracy of manually entered data
6. Intellectual Property
6.1 Our Property
PopaDex owns:
- Website and application code
- Design, logos, trademarks
- Content we create
- Database structure
- Algorithms and processes
Your license: Limited, non-exclusive, non-transferable right to use during your subscription
6.2 Your Data
You own your financial data:
- Transaction descriptions you enter
- Custom categories
- Notes and annotations
- Any content you create
License to us: You grant us right to:
- Store and process your data
- Display data back to you
- Create aggregated anonymized statistics
- Improve our services
E2EE: If enabled, we can’t access encrypted data (see Section 7)
6.3 Feedback
Suggestions and feedback:
- You may provide ideas, suggestions, feedback
- We may use without compensation or attribution
- No obligation to implement
- Becomes our property
7. End-to-End Encryption (E2EE)
7.1 E2EE Overview
Optional feature:
- Encrypts your data client-side (in your browser)
- Encryption key derived from your password
- We cannot decrypt your data
- We cannot recover your password
7.2 E2EE Responsibilities
Your responsibility:
- Remember your password
- Securely store recovery key
- Understand data is unrecoverable without password + recovery key
- Accept limitations (no password recovery, limited support)
Our limitation:
- Cannot reset password without recovery key
- Cannot view your encrypted data
- Cannot troubleshoot data-specific issues
- Cannot recover data if you lose both password and key
7.3 E2EE Data Loss
You acknowledge:
- If you lose both password AND recovery key, data is PERMANENTLY LOST
- This is by design (zero-knowledge encryption)
- We have no “backdoor” or recovery method
- No refunds for data loss due to lost credentials
Important: Export your data regularly as backup
8. Subscription and Payment
8.1 Pricing Plans
Free Tier:
- Basic features
- Limited account connections
- No payment required
Pro Tier (paid subscription):
- Unlimited account connections
- Advanced features
- Priority support
- Pricing at popadex.com/pricing
8.2 Billing
Payment terms:
- Charged monthly or annually (your choice)
- Billed in advance
- Auto-renewal unless canceled
- Processed via Stripe
Payment methods:
- Credit/debit cards
- Other methods as available
Failed payment:
- Email notification
- 7-day grace period to update payment
- Downgrade to free tier if not resolved
8.3 Cancellation
You may cancel anytime:
- Settings → Billing → Cancel Subscription
- Effective end of current billing period
- No prorated refunds (see Section 8.4)
- Can still use service until period ends
- Downgrade to free tier automatically
No cancellation fees
8.4 Refunds
General policy: No refunds for subscription fees
Exceptions:
- EU customers: 14-day cooling-off period (full refund if requested within 14 days of initial purchase)
- Technical issues: If service unavailable >48 consecutive hours, prorated refund
- Billing errors: Refund of incorrect charges
- Discretionary: At our sole discretion

8.5 Price Changes
We may change prices:
- 30-day advance notice via email
- Current subscribers: Grandfather pricing for 6 months
- Cancel before new price takes effect (no penalty)
9. Data and Privacy
9.1 Privacy Policy
Incorporated by reference: Our Privacy Policy is part of these Terms
Key points:
- We collect personal and financial data
- Used to provide service
- Shared with service providers (Plaid, Stripe, AWS)
- Never sold to third parties
- You have rights to access, delete, export
9.2 Data Ownership
Your data:
- You retain ownership
- Can export anytime
- Can delete anytime
Our rights:
- Store and process to provide service
- Create anonymized aggregate statistics
- Use for service improvement
9.3 Data Retention
Active accounts: Data retained indefinitely
Deleted accounts:
- 30-day grace period
- Then permanent deletion
- Some data retained for legal compliance (anonymized)
9.4 Data Breaches
Our obligation:
- Notify you within 72 hours of discovery
- Describe what data was affected
- Steps we’re taking
- Recommendations for you
E2EE protection: Encrypted data unusable even if breached
10. Disclaimers and Limitations
10.1 Not Financial Advice
Important:
- PopaDex provides tools, not advice
- We are not financial advisors
- Don’t provide investment recommendations
- Don’t provide tax or legal advice
- Consult professionals for advice
FIRE calculator: Educational tool, not financial plan
10.2 Accuracy Disclaimer
No guarantee of:
- Data accuracy (dependent on banks, manual entry)
- Calculation accuracy
- Exchange rate accuracy
- Completeness of information
Your responsibility: Verify all data for important decisions
10.3 Service “As Is”
Service provided “AS IS” and “AS AVAILABLE” without warranties:
No warranties:
- Merchantability
- Fitness for particular purpose
- Non-infringement
- Uninterrupted or error-free service
- Security (though we use best efforts)
- Accuracy or reliability
10.4 Limitation of Liability
To maximum extent permitted by law:
We are NOT liable for:
- Indirect, incidental, consequential damages
- Lost profits or data
- Service interruptions
- Third-party actions (banks, Plaid, etc.)
- Your reliance on service data
- Financial losses from decisions you make
Maximum liability: Amount you paid us in past 12 months (minimum $100)
Exceptions (cannot be limited):
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Other liabilities that cannot be excluded by law
11. Indemnification
You agree to indemnify us (defend and hold harmless) from claims arising from:
- Your violation of these Terms
- Your violation of laws or regulations
- Your violation of third-party rights
- Your use of the service
- Content you provide
We’ll notify you of claims and may participate in defense
12. Third-Party Services
12.1 Integration Partners
Plaid, GoCardless, Stripe, etc.:
- Subject to their own terms and policies
- We don’t control their services
- Not liable for their actions or failures
- May change or discontinue at any time
12.2 Links to Third Parties
External links in our service:
- Provided for convenience
- We don’t endorse linked sites
- Not responsible for their content
- Use at your own risk
13. Dispute Resolution
13.1 Governing Law
Jurisdiction:
- EU users: Laws of Ireland
- UK users: Laws of England and Wales
- US users: Laws of State of Delaware
- Other users: Laws of Ireland
13.2 Informal Resolution

- Good faith effort to resolve
- 30-day negotiation period
13.3 Arbitration (US Users)
Binding arbitration:
- Disputes resolved through arbitration (not court)
- American Arbitration Association (AAA) rules
- One arbitrator
- Location: Your county of residence or remote
- Costs: We pay AAA fees for claims <$10,000
Class action waiver: No class actions or representative proceedings
Opt-out: Email [email protected] within 30 days of account creation
13.4 EU/UK Users
Not subject to forced arbitration:
- Can pursue claims in courts
- EU users: Courts of Ireland or your home country
- UK users: Courts of England and Wales
Alternative dispute resolution: EU Online Dispute Resolution platform (ec.europa.eu/odr)
14. General Provisions
14.1 Entire Agreement
These Terms, Privacy Policy, and DPA (if applicable) constitute the entire agreement.
Supersedes: All prior agreements or understandings
14.2 Severability
If any provision is unenforceable:
- Remaining provisions stay in effect
- Unenforceable provision modified to be enforceable
- Does not affect validity of rest of Terms
14.3 No Waiver
Our failure to enforce any right or provision:
- Does not constitute waiver
- We can still enforce later
- Must be in writing to be valid waiver
14.4 Assignment
You cannot assign these Terms without our written consent
We may assign to:
- Affiliate or subsidiary
- Acquirer of our business
- You’ll be notified
14.5 Force Majeure
Not liable for delays/failures due to:
- Natural disasters
- War, terrorism
- Government actions
- Internet outages
- Third-party service failures
- Other events beyond our reasonable control

15. Special Provisions
15.1 California Users
Additional rights under CCPA:
